1. Platform nature & acceptance

Matchai is a software platform operated by Matchai LLC, a limited liability company organized under the laws of Saint Vincent and the Grenadines ("Matchai," "we," "us," or "our"). Matchai provides technology tools that enable real estate professionals to manage property listings, collaborate with peers, communicate with contacts, and organize their business operations.

Matchai is a technology provider. We do not engage in real estate brokerage, agency, advisory, or intermediary activities of any kind. We do not buy, sell, lease, rent, appraise, inspect, or otherwise transact in real property. We do not hold a real estate brokerage license, agency registration, or equivalent authorization in any jurisdiction, because the nature of our service does not require one.

By creating an account or accessing any part of the platform, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the platform.

2. Definitions

• "Platform" means the Matchai web application, mobile application, APIs, and all related services accessible at matchai.co and its subdomains.
• "User" or "you" means any individual who creates an account or accesses the platform.
• "Professional User" means a User who represents themselves as a licensed or registered real estate professional, including but not limited to agents, brokers, inspectors, appraisers, mortgage advisors, notaries, and property managers.
• "Content" means any text, images, photographs, documents, data, listings, messages, or other materials uploaded, posted, or transmitted through the platform.
• "Listing" means a property listing created and published through the platform by a Professional User.
• "AI Features" means any functionality within the platform that uses artificial intelligence or machine learning, including but not limited to automated recommendations, lead scoring, content suggestions, and message drafting assistance.
• "Professional Site" means the portfolio website hosted at a subdomain of matchai.co (e.g., username.matchai.co) that a Professional User may create through the platform.

3. Account registration & eligibility

To use the platform, you must be at least 18 years of age and capable of entering into a binding legal agreement. By registering, you represent that you meet these requirements.

You must provide accurate, complete, and current information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may authenticate using third-party services (such as Google, Microsoft, or Apple). When you do so, you authorize us to access certain account information from those services as described in our Privacy Policy.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or remain inactive for an extended period.

4. Platform as technology tool — not real estate services

This section is fundamental to your use of the platform. Please read it carefully.

Matchai provides software tools. The platform is a workspace — not a marketplace, brokerage, or advisory service. Specifically:

• Matchai does not provide real estate advice, opinions, valuations, or recommendations. Any data, analytics, or suggestions generated by the platform (including AI-powered features) are informational tools, not professional advice.
• Matchai does not act as a real estate agent, broker, intermediary, or representative for any party in any transaction.
• Matchai does not participate in, facilitate, mediate, or guarantee any real estate transaction between users or between users and third parties.
• Matchai does not verify the accuracy of property listings, user credentials, professional licenses, or any Content posted on the platform.
• Matchai does not endorse, recommend, or vouch for any Professional User, their services, their qualifications, or the properties they list.
• The display of a property listing on the platform does not constitute an offer to sell, lease, or transact. All listings are published by Professional Users under their own authority and responsibility.

Any real estate transaction that may result from connections made through the platform is conducted entirely between the relevant parties, subject to their own agreements, local laws, and professional standards. Matchai is not a party to any such transaction.

5. Professional user responsibilities

If you use the platform as a Professional User, you acknowledge and agree that:

• You are solely responsible for maintaining all licenses, registrations, certifications, and regulatory compliance required by the jurisdictions in which you operate.
• You are solely responsible for the accuracy, legality, and completeness of all Content you post, including property listings, descriptions, photographs, pricing, and disclosures.
• You will comply with all applicable real estate laws, regulations, codes of ethics, and professional standards in your jurisdiction, including but not limited to fair housing laws, anti-discrimination laws, consumer protection laws, and advertising regulations.
• You will not use the platform to engage in any activity that would require Matchai to obtain a real estate license, registration, or other regulatory authorization.
• You understand that Matchai does not monitor, review, or approve your Content for compliance with local regulations, and the publication of Content on the platform does not imply regulatory compliance.
• You will ensure that any AI-generated or AI-assisted content is reviewed for accuracy and regulatory compliance before you publish or rely on it.

6. Listing content & accuracy

Professional Users who publish listings on the platform bear sole responsibility for the accuracy, completeness, and legality of the listing information, including:

• Property descriptions, features, measurements, and conditions
• Pricing, fees, and financial terms
• Photographs, floor plans, and visual media (including ownership of or right to use such media)
• Compliance with local disclosure requirements, fair housing laws, and advertising standards
• Ensuring that listing data sourced from Multiple Listing Services (MLS), board systems, or other databases complies with the applicable data usage rules and attribution requirements

Matchai does not verify, validate, or guarantee any listing information. Users who view listings should independently verify all information before making any decisions.

7. AI features disclosure

The platform incorporates AI-powered features designed to assist Professional Users in their workflows. These features may include automated lead scoring, property recommendations, message drafting assistance, content suggestions, and data analysis tools.

You acknowledge and agree that:

• AI Features are assistive tools. They do not constitute professional advice, appraisals, valuations, or recommendations.
• AI-generated content may contain inaccuracies, errors, or biases. You are solely responsible for reviewing, verifying, and approving any AI-generated content before publishing or relying on it.
• AI Features process your Content and platform data to provide their functionality. By using AI Features, you consent to this processing as described in our Privacy Policy.
• We do not guarantee the accuracy, reliability, completeness, or fitness for any particular purpose of any output generated by AI Features.
• AI Features may be modified, improved, or discontinued at any time without notice.
• You will not represent AI-generated content to clients or third parties as human-authored professional work product without appropriate review and verification.

8. Intellectual property

The platform, including its software, design, graphics, user interface, algorithms, and documentation, is owned by Matchai LLC and protected by intellectual property laws. All rights not expressly granted in these Terms are reserved.

The Matchai name, logo, and associated branding are trademarks of Matchai LLC. You may not use them without our prior written consent.

You retain ownership of the Content you create and upload to the platform. Matchai does not claim ownership of your Content.

9. User content & license grant

By uploading, posting, or transmitting Content to the platform, you grant Matchai a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and transmit your Content solely for the purposes of operating, providing, and improving the platform.

This license includes the right to display your Content on your Professional Site (if applicable), in search results, and in platform features designed to showcase listings and professional profiles.

This license terminates when you delete your Content from the platform or close your account, except where your Content has been shared with or saved by other users in accordance with the platform's functionality, or where we are required to retain it for legal or compliance purposes.

You represent and warrant that you have all necessary rights, licenses, and permissions to grant this license for all Content you upload.

10. Prohibited uses

You may not use the platform to:

• Post fraudulent, misleading, or deceptive property listings or professional information
• Engage in the unauthorized practice of real estate brokerage, law, appraisal, or any other regulated profession
• Violate fair housing laws, anti-discrimination laws, or any applicable civil rights legislation in any jurisdiction
• Scrape, crawl, harvest, or otherwise extract data from the platform by automated means without our express written permission
• Distribute spam, unsolicited commercial messages, or bulk communications through the platform's messaging features
• Upload malware, viruses, or any code designed to disrupt, damage, or limit the functionality of any software or hardware
• Impersonate another person, professional, or entity, or misrepresent your affiliation with any person or entity
• Use the platform to facilitate money laundering, fraud, or any illegal transaction
• Circumvent, disable, or interfere with any security or access-control features of the platform
• Use the platform in any manner that could damage, disable, overburden, or impair the service
• Reproduce, duplicate, or resell any part of the platform without our express written permission

11. Third-party services & integrations

The platform integrates with or relies on third-party services including authentication providers (Google, Microsoft, Apple), cloud infrastructure providers, analytics services, and search services. These services are governed by their own terms of service and privacy policies.

Matchai is not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services through the platform is at your own risk.

We may add, modify, or remove third-party integrations at any time.

12. Fees & payment

The platform is currently available at no charge. We reserve the right to introduce paid features, subscription plans, or other fee-based services in the future.

If we introduce fees, we will provide at least 30 days' notice before any charges apply to your account. Your continued use of paid features after the notice period constitutes acceptance of the applicable fees.

All fees, once introduced, will be described in a separate pricing page or agreement.

13. Limitation of liability

To the maximum extent permitted by applicable law:

• The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Matchai does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Matchai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses.
• Matchai shall not be liable for any damages arising from real estate transactions, property valuations, investment decisions, professional advice, or any other activity conducted by users through or in connection with the platform.
• Matchai shall not be liable for the actions, omissions, errors, or representations of any Professional User or other user of the platform.
• In no event shall Matchai's total aggregate liability exceed the greater of (a) the amount you paid to Matchai in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Matchai LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the platform or violation of these Terms
• Your Content, including any listing information, messages, or other materials you post
• Your professional conduct, advice, representations, or services provided to clients or third parties
• Any real estate transaction you enter into through connections made on the platform
• Your violation of any applicable law, regulation, or professional standard
• Any claim by a third party that your Content infringes their intellectual property or other rights

15. Dispute resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the platform shall be resolved through binding arbitration administered in accordance with the rules of an internationally recognized arbitration body, conducted in English.

The arbitration shall take place in Kingstown, Saint Vincent and the Grenadines, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action, class arbitration, or representative proceeding against Matchai.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Before initiating arbitration, the parties shall attempt in good faith to resolve the dispute through informal negotiation for at least thirty (30) days after written notice of the dispute.

16. Governing law

These Terms shall be governed by and construed in accordance with the laws of Saint Vincent and the Grenadines, without regard to its conflict of law provisions.

Saint Vincent and the Grenadines follows the English common law tradition. To the extent that local law requires consumer disputes to be resolved under the laws of your jurisdiction of residence, those mandatory provisions shall apply.

17. Modifications & contact

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or business operations. If we make material changes, we will provide at least thirty (30) days' notice by posting the updated Terms on the platform and updating the "Last updated" date.

Your continued use of the platform after the notice period constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the platform and close your account.
